Highlights 

Dentons Hamilton Harrison & Matthews acted as lead counsel for Eastern and Southern African Trade and Development Bank (TDB) in relation to a KES 175,000,000,000 financing programme involving the securitisation of a portion of the future receipts from the Road Maintenance Levy by the Kenya Roads Board. The team, led by managing partner Sigee Koech, advised TDB on the setting up of a special purpose vehicle, conducting legal due diligence to ensure compliance with Kenyan law, and preparing and reviewing key documentation. While the transaction closed in February 2025, the team is now advising the client on the second phase of the transaction, which involves the establishment and issuance of a not programme in both the Kenyan and international markets.  

The firm also acted for the acquirer in relation to the acquisition of the remaining 65% shareholding in AIG Kenya Insurance Company Limited. The team, led by partners Andrew Mugambi and Peter Okaalet Jr, conducted the legal due diligence, drafted and negotiated key documents including the share purchase agreement, and advised on the regulatory and other third-party approvals necessary for the transaction. The transaction closed in July 2024.
