Highlights  

Oraro & Company Advocates advised CPF Financial Services Limited on a sukuk bond investment. As lead counsel, their role involved undertaking a legal due diligence on Linzi FinCo Trust, the issuer of the KES 3 billion Islamic Secured Lease Based Security (Linzi Sukuk) as well as the issue of the Linzi Sukuk for the proposed financing, design, construction and commissioning of affordable institutional housing. The transaction was led by partner Jacob Ochieng and closed in April 2024.  

The firm also advised Truvalu Enterprises 1 B.V. by undertaking a legal due diligence exercise on the company in Kenya known as Farmworks Agriculture, with respect to a proposed debt investment, and preparing the relevant transaction documents. The team also assisted in the drafting and negotiating of key transaction documents and facilitated the review of the Convertible Loan Agreement and Shareholders’ Agreement of the holding company. The transaction was led by Cindy Oraro and closed in October 2024.
