Machas & Partners advised Intercontinental International REIC and its major shareholder, Ajolico Trading, in the merger by absorption of Intercontinental International REIC by BriQ Properties REIC. The transaction involved a multi-phase "locked-box" corporate deal, a real estate asset deal, a distribution phase, and a share deal. The deal was completed on December 23, 2024. 
 
Machas & Partners provided legal support to GAIAOSE concerning the use of a negotiated procedure without prior call for competition for the signing of a public contract. The firm proposed relevant amendments up to the signing of the contract, and the contract was approved by the Hellenic Court of Audit.

Papapolitis & Papapolitis advised HELLINIKON SMSA on the sale of full ownership rights in five distinct urban blocks for residential use in the area of the Metropolitan Pole of Hellinikon. The total investment for these developments is projected to reach at least EUR 300 million. The firm drafted notarial transfer deeds and other ancillary documents, engaged in negotiations with all buyers, and assisted in the closing process.

The transaction is ongoing, with non-binding MoUs executed on September 24 2024.

Highlights

The firm advised Eurobank in the synthetic securitization of a portfolio of performing exposures to large enterprises. The transaction, which closed on December 2024, involved the direct issuance of Credit Linked Notes (CLNs) linked to the credit risk of the portfolio and the sale of the mezzanine tranche notes to an investor. 

Elsewhere, a team acted in the merger of three state-owned entities: HCAP, Hellenic HFSF, and Hellenic Republic Asset Development Fund (HRADF). The merger, completed on December 2024, was valued at 278 million EUR. 

AKL

Athens based firm Alexiou-Kosmopoulos Law Firm (AKL) was established in 1891.

Highlights

AKL advised Eurobank, Piraeus Bank, Alpha Bank, and Attika Bank as lenders and MLAs on the Hellinikon Malls project. The project involved a EUR101 million bridge facility signed in December 2024 to refinance existing debts.

The firm was also supporting long-standing client Lamda Development on various other aspects of the EUR7 billion Hellinikon project. In 2024, the transaction between the Hellenic Republic, HRDF and Lamda Development was concluded, and the development of some of the first-planned projects, such as the experience park and the experience center, were licensed.

Koutalidis Law Firm advised the Consortium comprising Fraport AG Frankfurt Services Worldwide, Delta Airport Investments, and Pileas Holdings on the tender process for the concession of the Kalamata International Airport for a duration of forty years. The Consortium was nominated the Preferred Bidder, and the deal involved a variety of legal issues due to the regulatory framework pertaining to the operation of airports.

The transaction is a limited recourse project finance scheme employing funds under the Resilience and Recovery Fund (RRF) and is split into three phases: Phase A1 (RRF Bond Loan of EUR465 million), Phase A2 (rest of RRF finance documents prepared), and Phase B (non-RRF finance documents prepared).

KG acted for AON Delta Netherlands in relation to share transfer transactions within three AON Group companies, AON Greece, AON Cyprus, and AON Turkey. Specifically, KG represented AON Delta Netherlands in its acquisition of 100% shareholding ownership in AON Greece from three individuals and Bacon & Woodrow Partnerships Limited. The deal closed in November 2024.

KG advised EQT Infrastructure IV Investments on its public offer to acquire a stake in OX2, an international developer of renewable energy projects. The Greek portfolio included PV and wind projects with a total installed capacity of 738 MW. KG performed due diligence on the Greek assets and delivered a legal risk analysis regarding licensing, grid connection, and land rights.

The firm had previously advised in the fund's acquisition of a minority stake in Arosis. Deal closed in December 2024.

A team also advised Hellenic Casino Parnitha on the relocation of Casino Mont Parnes from its current mountaintop location to an urban site. The project involved strict conditions set by law, including zoning and land use restrictions, reclamation of the old location, minimum investment and financing, ownership, and compliance with gaming and casino legislation.
