Successfully structured and finalised a shareholders' agreement for a $447 million construction joint venture tasked with developing and maintaining a significant Middle Ring Road infrastructure project in Malaysia. The transaction involved complex negotiations among four construction companies, establishing a framework for collaborative project execution and future ownership transitions. The agreement provides a robust foundation for this vital infrastructure development while ensuring long-term operational stability. 

Advised a Japanese financial group on its $83.8 million acquisition of a Malaysian public-listed retail electrical company, completed in September 2024. The transaction involved complex regulatory compliance requirements with the Securities Commission and Bursa Malaysia, particularly focusing on mandatory disclosure obligations and cross-border legal considerations under TOMCA and the Capital Markets and Services Act. This deal showcases innovative approaches to stakeholder engagement in Southeast Asian public company acquisitions while establishing new benchmarks for transparency in Malaysian M&A transactions. 

Advised a Turkish state-owned mining company on its $50 million establishment of a Malaysian subsidiary and formation of regional trading operations. The scope included structuring the local entity for transit trading of mineral products between Turkey, Malaysia and Indonesia. The firm provided comprehensive legal support covering customer agreements, sub-distribution arrangements, employment contracts, leasing matters, customs clearance and licensing requirements. This landmark transaction strengthens cross-border trade relationships between Turkey and Southeast Asia while establishing a more efficient distribution network for strategic minerals in the region.
