Novak Law (NLaw) is an independent Slovenian law firm established in 2016 in Ljubljana by Nejc Novak. The firm has expanded over the years with an office in Croatia. The firm is well known for its corporate and commercial work particularly in venture capital funds and technology industries. It mainly advises on M&A transactions, acting for both buyers and sellers. Many of the firm’s clients are venture capital funds, angel investors, startups and founders.

Highlights

Nlaw advised LynxCap Investments on the organization of private placement of bonds, with the intent of funding and acquiring a portfolio of non-performing loans. The team drafted all investment and collateral documentation, negotiated with the largest investors, and organized the closing session. The transaction closed in February 2024.

The firm also advised Dodona Analytics on its ‘flip’ to the UK, where the team relocated the company’s HQ to English and helped negotiate the relocation with existing shareholders. The team also arranged for the issuance of stock options to key employees and early investors. The firm acted as lead counsel and was led by partners Ambrož Arko and Katya Mezek.
