Jadek & Pensa advised Telemach Slovenija d.o.o on the carve out of its fixed infrastructure business into a new company. The team drafted all the required rnasaction documentation and related documents, as well as provided detailed advice on the particularities of the transaction. The team acted as lead counsel and was led by Nastja Merlak and Ožbej Merc. The transaction closed in March 2024.
The firm also advised 2TDK, d.o.o. on the construction of the second track of the railway between Divača and the Port of Koper, a major port in the Adriatic Sea. Their work included the preparation of FIDIC based construction agreements and several other ongoing issues and requests. The project is currently ongoing and led by partners Andraž Jadek and Borut Leskovec.
