Ruxandra Bologa is a highly experienced corporate lawyer with 23 years of professional experience. She co-heads NNDKP's Corporate/M&A and Energy and Natural Resources practices.
Ruxandra has coordinated landmark domestic and cross-border M&A projects and transactions that have shaped the Romanian business landscape, acting for a broad spectrum of investors, including private equity firms, infrastructure funds, and entrepreneurs. She also advises clients across multiple industries on joint ventures, restructuring and outsourcing projects, as well as complex regulatory and contractual matters.
She has extensive expertise in the energy and natural resources sector, having coordinated oil and gas projects, renewable and green energy developments, projects involving the transportation, distribution, supply and trading of natural gas and electricity, as well as mining and carbon capture and storage projects. She is also actively involved in energy efficiency matters and projects relating to clean energy transition and decarbonisation.
In addition, Ruxandra provides specialised advice in energy-related disputes, including litigation initiated by NGOs, working closely with the firm's litigation team.
- Advised an energy company throughout the development of one of Romania's first hybrid generation projects, combining a gas-fired power plant with a co-located battery energy storage system.
- Advised a developer and operator of renewable energy assets on the development of its renewable energy portfolio in Romania, providing ongoing regulatory advice across the portfolio together with transactional support on individual projects.
- Advised a regional industry player regarding a proposed carbon capture and storage project in Romania, including legislative adjustments required for the capture, transportation, and permanent storage of CO₂ and compliance with the Net Zero Industry Act.
- Assisted Holcim Romania, one of the leaders in the local construction materials industry, in the acquisition of granite quarry operator Uranus Pluton SRL. Previously advised the client on expanding its aggregates division through the acquisition of 100% of the shares in Stones Business Development SRL.
- Assisted ExxonMobil in the sale of its 50% participation in the Neptun Deep offshore block in the Black Sea to a Romanian natural gas producer and supplier in a transaction valued at USD 1.06 billion.
