  • Sam Wainaina, Ruth Kirunga and Caroline Etyang advised OPIC on its USD 232,560,000 loan to Kipeto Energy PLC for the development and operation of a 100MW wind power plant.

Highlights  

Kaplan & Stratton advised the lender in a portfolio refinancing facility for Crossboundary Energy Kenya Limited (CBE) from the Standard Bank of South Africa Limited aimed at boosting CBE’s renewables portfolio across Africa. Acting as local counsel, the team conducted due diligence on the borrower and prepared the Kenyan law documents, including security documents. The transaction closed in November 2024.  

The firm is currently advising Safaricom Plc in connection with the formation of a strategic joint venture with Apeiro Limited and Konvergenz Network Solutions Limited to deliver a digital health infrastructure project for the Government of Kenya. The firm’s work covered the full structuring of the JV, including advising on the design and negotiation of the bid stage and project delivery consortium agreements; structuring inter-party governance, control rights, voting thresholds, and deadlock resolution; and advising on risk allocation, profit-sharing, and exit mechanics. The team is led by partners Joseph Ng’ang’ira and Kenneth Kamaitha
