Fellner Wratzfeld & Partner advised MTIB on a major international financial restructuring, including the landmark StaRUG restructuring of listed German battery manufacturer VARTA AG. The mandate involved restructuring complex group financing arrangements, coordinating multi-jurisdictional security packages and supporting Porsche AG’s strategic investment, through which Porsche acquired a 70% stake in V4Drive. The transaction required the alignment of multiple creditor groups, cross-border restructuring measures and significant financing workstreams, making it one of the most notable restructuring mandates in the region.


During the research cycle, the firm also advised MT InvestCo, the investment vehicle of Dr. Michael Tojner, on its strategic investment in VARTA AG as part of a complex cross-border restructuring and refinancing. The mandate involved the restructuring of multiple financing facilities across Austria, Germany and Switzerland, alongside collateral and insolvency related considerations at group level. The transaction is notable for its implementation of a shareholder-led restructuring solution and its role in supporting the financial reorganisation of a leading European battery manufacturer.
