Nodwin Gaming, the acquirer purchased all the shares of the promoters, Jatin Varma and Karan Kalra, in the target. Nodwin Gaming paid Jatin and Karan partly in cash and partly in new shares allotted by Nodwin Gaming. Jatin and Karan continue to be engaged as consultants to the target until April 2025. As Nodwin Gaming paid Jatin and Karan partly in cash and partly in new shares allotted by Nodwin Gaming, the transaction structure triggered additional compliances under the Companies Act 2013 and SEBI regulations, which the firm had to evaluate and advise on.
