Ogier is a 1,100-strong global offshore law firm that has served clients for over 150 years. The firm operates in Guernsey and boasts a wide network of offices across the British Virgin Islands, Cayman Islands, Dubai, Hong Kong, Ireland, Jersey and Luxembourg. The Guernsey office has a deep bench of partners, with the likes of Bryon Rees and Tim Clipstone leading many of the firm's top corporate, investment funds and regulatory mandates, while Christopher Jones and Paul Chanter lead the office's banking and finance practice.

Highlights

Ogier has a leading presence in Guernsey, where the office regularly supports a range of corporate finance activities, from private equity, M&A and banking and finance, to restructurings, investment funds and private investments.

Recent highlights include advising Advent International in relation to the USD$6.3 billion financing for the client's take-private acquisition of Nuvei Corporation. Working alongside Kirkland & Ellis, this transaction showcases the Ogier Guernsey banking and finance team's ability to assist prominent, top-tier international law firms on significant, substantial multi-stakeholder transactions.

Ogier's corporate M&A team, led by Tim Clipstone, acted as Guernsey counsel to Sixth Street Partners, LLC , in its take-private acquisition of Bermudian-based insurer Enstar Group Ltd. This deal was multijurisdictional, including Guernsey, UK, US, Bermuda, Australia and Continental Europe.

The investment funds team advised Starwood Capital on the acquisition of the LSE listed fund, Balanced Commercial Property Trust Limited (BCPT), by means of a scheme of arrangement. This was complex transaction involving a London listed regulated fund, which required not only corporate advice but dealing with related regulatory, listing and takeover code and financing issues.

Key clients

Disruptive Capital, Man GPM, HSBC Management (Guernsey)Limited, Reference Capital and Starwood Capital

Personnel changes

Corporate counsel Liam Murphy joined Ogier from AL Goodbody in April 2024. Andrew Grant, managing associate, joined the firm from Mourant in December 2024. Most recently, George Nassif joined the investment funds and regulatory team from Conyers.
