Recent Transactional Highlights:
- We acted as counsel to the Joint Trustees (FCMB Trustees and ARM Trustees) in connection to the FCMB Group Plc's Series 2 perpetual non-call fixed rate resettable additional tier 1 Bond of up to N26 Billion under the N300 Billion debt issuance programme. We supported the FCMB Group in raising the second tranche of its additional tier 1 bond in Nigeria. The FCMB Group is the only entity to have successfully issued an additional Tier 1 bond within Nigeria domestic capital market.
- We acted as legal counsel to Sahel Capital in its trade finance loan to Source and Produce Limited. The trade finance will enable Sourcing and Produce Limited to expand its supply chain and finance the aggregation of agricultural products from smallholder farmers.
- We advised Actis, a leading global investor in sustainable infrastructure in respect of the exit of its investment in Sigma Pensions Limited.
- We acted as counsel to Tana Africa Limited in its acquisition of a substantial 49% equity stake in SCP BBVM Limited. Notably, SCP BBVM Limited, a Mauritius-based entity, commands a significant 49.4% equity interest in Sundry Markets Limited, a Nigerian enterprise specializing in retail store operations.
- We advised the FCMB Group Plc in its Series 1 Bond which is the very first Additional Tier 1 (“AT1") bond issuance in the Nigerian debt capital markets.
