Highlights  

Dentons EALC advised CRDB Bank PLC on its groundbreaking Samia Infrastructure Bond, part of a USD 300 million multi-medium-term notes programme. The team, led by Stella Ndikimi, provided legal counsel for all aspects of the bond issuance and ensured compliance with regulatory requirements, including conducting legal due diligence, preparing transaction documents, and issuing legal opinions and transaction advice from a local law perspective. The transaction closed in December 2024.  

The firm is also providing legal due diligence and transactional advisory services for IFC on a proposed investment in BOA Bank Tanzania. This includes advising on local Tanzanian law and regulatory issues, reviewing and providing comments on the English law governed Loan Agreement, providing local law assistance for the signing of finance documents and disbursements, collecting and reviewing local law conditions precedent, and issuing local law enforceability and capacity legal opinions. The transaction was completed in September 2024 and was led by Stella Ndikimi.
