Recent transactional highlights:
- The Instituto Costarricense de Electricidad, an autonomous government-owned institution organized and existing under the laws of Costa Rica, made an international bond issuance for US$300,000,000.00, at an interest rate of 6.750% per annum and, from and including April 7, 2026 (the “Interest Rate Step Up Date”), at a rate of 7.000% per annum (the “Subsequent Rate of Interest”) unless ICE have delivered an officers' certificate certifying that the Sustainability Performance Target (meaning the entry into operations of at least 502,000 smart meters in the Concession Zone -as define by the local regulator - by December 31, 2025) has been satisfied. The maturity date of the bonds is October 7th, 2031.
- We acted as local counsel to Citigroup Global Markets, Inc. in connection with the green bond issuance by Investment Energy Resources Limited (IERL), a subsidiary of the Guatemalan Corporación Multi Inversiones (CMI) of $700 million. The senior bonds had a coupon rate of 6.25% with maturity in 2029.

- Consortium Legal has advised Cemex in the sale of its operation in Costa Rica and El Salvador to Cementos Progreso Holdings, S.L., subject to approvals and other conditions. The sale was valued at US$335 million and included one integrated cement plant, one grinding plant, seven ready-mix concrete plants, one aggregate quarry and distributions centers in Costa Rica and El Salvador.
- Consortium assisted Cemex y both legal and tax matters for the transaction with teams based in Costa Rica and El Salvador. Consortium Advised the buyer in the process of acquiring S.T.T Group CR SA and its subsidiaries (5 Companies under CR jurisdiction).
