  • DNB Sweden AB granted a loan to TIGO - US$100,000,000.00 - DNB Sweden AB granted a loan to Telemovil, S.A. de C.V., (“TIGO”) as borrower and Millicom International as guarantor for US$100,000,000.00 TIGO is the largest telecommunications company in El Salvador and one of the largest in the Central American region. The proceeds of the loan will be used by Tigo for the refinancing of their corporate debt in El Salvador.
  • The Bank of Nova Scotia granted a loan to Exell Business INC for US$ 160,000,000.00 - The Bank of Nova Scotia granted a loan to Exell Business INC, holding entity for one of the largest vehicle dealerships in Central America with operations throughout the region and the Caribbean, for the amount of US$ 160,000,000.00. Consortium oversaw the review of the loan agreement from a Salvadoran law perspective, the bond issued by the local entities as part of Exell Group, and other ancillary documents under Salvadoran law.

Recent transactional highlights:

  • Grupo PDC adquires Dizac, S.A. de C.V. - Consortium Legal advised Grupo PDC in the acquisition and execution of the assets purchases agreements for all inventories, assets and intellectual property of Dizac, S.A. de C.V., one of the most relevant consumer goods distributors and manufacturer of the “Australian” Milk brand in El Salvador and Guatemala. The transaction was structured in order to acquire the entire operations of DIZAC in El Salvador and Guatemala In addition, Consortium provided legal advice to Grupo PDC with all regulatory filings before all necessary governmental authorities in El Salvador.
  • Consortium advised General International Telecom Limited and Jaguar Fund No. 1, L.P. in the acquisition process of 99.3% and 100% of the shares, respectively, of two local companies in the telecom sector: Telefónica Móviles El Salvador, S.A. de C.V. and Telefónica Multiservicios, S.A. de C.V. (the “Target Companies”). In such process, Consortium provided legal advice in the due diligence process, the stock purchase agreement and the closing of the transaction from a local perspective which included advice in areas such as corporate, data privacy, tax, intellectual property, regulatory matters in the telecom and antitrust sector, labor, real estate, insurance, among others.

Highlights  

The firm’s banking and finance department advised Digicel as borrower in a financing via bridge loan granted by Citibank for the purpose of debt restructuring. The firm was local counsel on this cross-border transaction, advising on the Salvadorian law aspects. 

The firm also leads in cross-border transactions. In one example, it advises Grupo Financiero Ficohsa in the acquisition via share purchase agreement of Asesuisa, the subsidiary of a multinational insurance company.
