Highlights

The banking team, led by partner Tomáš Sedláček, acted as legal advisor to ŠKODA TRANSPORTATION Group on the establishment of a US$1.6 billion umbrella financing facility, combining a revolving loan, term loan, and guarantee facilities under a single framework agreement. The deal was groundbreaking, as it was the first framework agreement to consolidate three distinct forms of debt within one structure.

The capital markets team at BBH advised PPF banka a.s. on the structuring and subsequent offering of a series of investment certificates linked to a diverse range of underlying assets, including receivables, bonds, and promissory notes. The team devised a pioneering mechanism for risk allocation and mitigation through investment certificates.

The restructuring and insolvency team advised the insolvency administrator of VITRABLOK, s.r.o. on the complex sale of the company’s entire business, including its U.S. subsidiary and Italian branch. The deal was highly intricate due to numerous security interests held by multiple creditors and the need to coordinate instructions and distribution of proceeds accordingly.
