  • Acting for I&M Holdings Limited in connection with its acquisition of 100% (one hundred percent) of the share capital of Orient Bank Limited, one of the largest commercial banks in Uganda.  
  • Advising GVC Holdings PLC in connection with the acquisition of A Better Place Limited and Gal Sports Betting Limited including conducting due diligences on A Better Place Limited and Gal Sports Betting Limited. 
  • Advising Echotel Proprietary Limited, one of the largest internet service providers in South Africa in connection with an acquisition of the entire business of iWay Africa Uganda Limited, one the leading African internet service providers offering solutions over satellite, fibre optic and wireless networks.
  • Advising Toyota Tsusho, a Japanese trading house, in connection with its investment in Tugende Limited, which provides asset finance to bodaboda riders in Uganda and other East African countries. The investment was made jointly with CFAO (Toyota Tsusho's subsidiary headquartered in France) through their co-owned SPC in France named Mobility 54 Investment SAS.

Highlights  

MMAKS advocates acted as lead counsel for the Office of the Auditor General on a special audit of the Lease and Assignment Agreement between Umeme Limited and Uganda Electricity Distribution Company Limited, which was coming to an end. The team determined the buy-out amount due to Umeme Limited at the expiry of the Concession, established financial liability owed by either party, verified the completeness of the electricity distribution network assets, and established any outstanding legal non-compliance and associated liability by Umeme Limited to the Government of Uganda. The project was completed in March 2025 and was led by Fiona Davies Nalwanga and Godwin Kakande.  

The firm is also advising Olea Insurance Solutions Africa, seeks to purchase all the issued shares in Marsh Insurance Brokers Limited, resulting in the amalgamation of Olea Uganda Limited and Marsh Uganda. Acting as lead counsel for the client, the firm is involved in reviewing and advising on the share purchase agreement and the regulatory approvals involved, as well as obtaining approvals from the ministries of government. The transaction is currently ongoing and led by partner Fiona Davies Nalwanga.
