Highlights  

ABMAK Associates acted as lead legal advisor for HMH-Kuku Limited (HMH) and its outgoing shareholders in the acquisition of 100% ownership of the company by African Poultry Development Limited. The team, led by Festus Akunobera and Joshua T. Byabashaija, drafted and negotiated legal documentation and advised the client on the corporate and regulatory compliance requirements for the acquisition. This included securing no-objection approvals from the National Environment Management Authority and the Ministry of Agriculture, Animal Industry, and Fisheries. The acquisition was completed in June 2024, but amalgamation is ongoing.  

The firm is also advising Platinum, a licensed microfinance institution in Uganda, on its proposed issuance of unsecured medium-term notes which will be listed on the Fixed Income Security Market Segment (FISMS) of the Uganda Securities Exchange (USE). Acting as lead counsel, the team has engaged with the Capital Markets Authority on approval requirements for the programme; drafted the programme documents, including the trust deed, agency agreement, and placing agent agreement; and conducted due diligence on the corporate file of Platinum at the Uganda Registration Services Bureau to determine the company’s statutory eligibility. The transaction is currently ongoing and led by partner Hakim Muwonge.
