Arias advised a non-local lender that provided a loan of up to $85 million through a syndicated term facility agreement to a borrower group with subsidiaries in multiple countries.

Arias assisted in the coordination and preparation of all necessary documentation for updating local security documents related to loans granted by OPIC (now DFC) to Honduran entities. The project encompassed four loans with four different entities: LAFISE, BAC HONDURAS, INTERMAC, and GEOPLATANARES. The update was prompted by OPIC's transition to DFC.

Arias advised and played an important role in a complex syndicated term loan facility for ENERGY INFRAESTRUCTURE HONDURAS, S.A. DE C.V. The USD 711.6 million loan, facilitated by ITG Sarl, aimed at acquiring Puma Energy's energy infrastructure and storage terminals. The transaction involved a diverse credit structure with simple loans and revolving credit facility commitments.

Arias advised to Banco Santander on a financing transaction to RANSA of USD 53,350,000.00 by assisting and reviewing the transaction documents from a local law perspective.

Arias advised an important foreign bank that provided a large unsecured loan (up to $10 million) to a group of multinational companies, including subsidiaries in Honduras. The loan involved various financial tools for the borrower, such as working capital support and trade finance instruments.

Evangelina and her team advised in the acquisition of a group companies dedicated to specialized chemical products manufactured in Honduras. ARIAS provided the client with an analysis of the local legal landscape regarding corporate, environmental, and tax matters, and assisted in the preparation of transactional agreements from the perspective of local law. Additionally, the ARIAS Honduras team worked closely with environmental consultants to examine the regulatory and environmental aspects of the transaction.

Assisted the sellers of Financiera Finca Honduras “FINCA” in the sale process of their shareholding from a local law perspective, meticulously preparing all the necessary documentation for FINCA Honduras.

Founded in El Salvador, Arias has since expanded and added locations throughout Central America. The firm currently has offices in Guatemala, El Salvador, Honduras, Nicaragua, Costa Rica and Panama. The Honduras office opened in 2002 and has two locations, in Tegucigalpa and San Pedro Sula. Evangelina Lardizábal is the managing partner of the firm’s Honduras offices. Highlights  

Over the research period, the firm was active in project financing. In one example, it was local counsel on a cross-border project financing via a syndicated term loan facility designated to ENERGY INFRASTRUCTURE HONDURAS. The firm advised Natixis as creditor in this transaction.  

The firm also advised Inter-American Investment Corporation as lender in relation to a loan granted to CMI Alimentos. The firm was lead counsel on this cross-border financing.
