Highlights 

A team led by managing partner Varoujan Avedikian and senior partner Misak Babajanyan advised French development finance agency Proparco on its acquisition of 10% of the share capital of publicly-listed ACBA Bank. The deal involved a secondary market transaction to acquire 2% of the bank’s shares from SACAM International, and a primary market transaction for an 8% stake, executed via a subscription to newly issued shares. The firm worked alongside international counsel.

In another highlight, the firm advised the management of Kamurj UCO, on its management buyout (MBO) of Kamurj UCO CJSC, one of the largest credit organizations in Armenia and previously owned by the Republic of Armenia. The deal represented the first ever MBO in Armenia’s financial services sector.

In a third notable deal, the team acted for Paradeplatz on its acquisition of 100% shareholding in investment company Alpha Securities. The deal navigated Cypriot and Armenian regulatory frameworks and compliance requirements and won approval from the Central Bank of Armenia.
