Advised the joint sponsors, joint overall coordinators and the underwriters in connection with the proposed listing of Siory Holdings, a leading online literature intellectual property company in China with strong full-chain IP development, operations, and commercialisation capabilities and a significant fan base, on the HKEX.

Advised the client on the acquisition of a financial services group comprising SFC licensed entities previously operated by a group listed on the HKEX. 

Advised the client in connection with consulting with the SFC of Hong Kong in connection with consent for making partial offers for acquiring shares of certain identified target HKEX-listed issuers, the shares of which are suspended from trading, including the obtaining of a waiver for making the “low-ball” offer at a material discount, as well as a further waiver for making a partial offer at a specified range.

Advised the general partner as lead Hong Kong adviser in respect of the launch of a Cayman Islands limited partnership fund. 

Acted as the Hong Kong legal adviser for the client on establishing and launching an umbrella open-ended fund company with one sub-fund and different classes of shares within the sub-fund.

Advised an Indian stock exchange on a complex authorisation under Part III of the Securities and Futures Ordinance as an automated trading platform. 

Advised a Bahrain-based tokenisation and exchange platform on securities and crypto law in Hong Kong as well as assisted with the application for a licensing application with the SFC to carry out crypto-related services in Hong Kong.

Advised a Hong Kong high-net-worth individual on the restructuring of substantial investment holdings. The matter is legally innovative because it involves restructuring an existing investment portfolio into a Hong Kong-established discretionary trust, which requires careful consideration of Hong Kong tax implications and coordination with US tax advisers regarding potential US tax liabilities. 

Advised the controlling shareholder of an investment company on the restructuring and solvent wind-down of its business operating a licensed platform in Taiwan.
