Argentina: Bomchil and Bruchou & Funes de Rioja in the successful Issuance of new notes by Compañía General de Combustibles under its Frequent Issuer program.

Bomchil has advised Compañía General de Combustibles S.A. and Bruchou & Funes de Rioja acted as counsel to the placement agents on the recent issuance of the company’s (i) 4.00% Notes Series 33 due in February 2026 (Obligaciones Negociables Clase 33) issued for an amount of US$21,462,620 denominated in U.S. Dollars and payable in Argentine Pesos at the prevailing exchange rate; and (ii) 7.00% Notes Series 34 due in February 2026 (Obligaciones Negociables Clase 34) issued for an amount of US$38,537,380, denominated and payable in U.S Dollars at the prevailing exchange rate.

Bomchil has advised Compañía General de Combustibles S.A. and Bruchou & Funes de Rioja acted as counsel to the placement agents on the recent issuance of the company’s (i) 4.00% Notes Series 33 due in February 2026 (Obligaciones Negociables Clase 33) issued for an amount of US$21,462,620 denominated in U.S. Dollars and payable in Argentine Pesos at the prevailing exchange rate; and (ii) 7.00% Notes Series 34 due in February 2026 (Obligaciones Negociables Clase 34) issued for an amount of US$38,537,380, denominated and payable in U.S Dollars at the prevailing exchange rate.

The issuance date took place on February 23, 2024 under the company’s Frequent Issuer Program. The proceeds from the placement of the Notes Series 33 and 34 will be applied in accordance with the provisions of Section 36 of the Negotiable Securities Law, to any of the following purposes: (i) investment in physical assets located in the country; (ii) refinancing of liabilities; (iii) integration of working capital in the country; (iv) acquisition of goodwill located in the country; and/or (v) integration of capital contributions in companies controlled or related to the issuing company, to the acquisition of equity interests and/or financing of the commercial line of business of the issuing company.

Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A.U., and Banco Santander Argentina S.A. acted as book-running managers and placement agents, while Allaria S.A, Balanz Capital Valores S.A.U., BACS Banco de Crédito y Securitización S.A, Max Capital S.A, Banco Comafi S.A., Banco Hipotecario S.A., Puente Hnos. S.A., Banco Patagonia S.A., Banco Mariva S.A., TPCG Valores S.A.U., Macro Securities S.A.U. and Facimex Valores S.A acted as placement agents.

The notes are listed in Bolsas y Mercados Buenos Aires S.A. and Mercado Abierto Electrónico S.A.
