Some companies might still have to adopt shareholder proxy
access provisions despite the Securities and Exchange
Commission’s (SEC’s) announcement
that it would not appeal a ruling that vacated its universal
proxy access rule.
The US Court of Appeals for the DC Circuit ruled the SEC was
inconsistent and opportunistic in framing the costs and
benefits of the rule – a criticism the Commodity
