Asia's first covered bond; Ford launches equity offering with Davis Polk; Countrywide restructured by Freshfields

Simpson Thacher & Bartlett represented Microsoft in its initial debt offering of $3.75 billion. The structure includes $2 billion of 2.95% notes due 2014, $1 billion of 4.20% notes due 2019 and $750 million of 5.20% notes due 2039. Weil Gotshal & Manges represented the underwriters including JP Morgan, Morgan Stanley, Bank of America and Citigroup.

Clifford Chance and Allen & Overy have played key roles on Asia's first covered bond. The $1 billion transaction by Kookmin Bank was also novel for its asset pool: it contained credit card receivables as well as residential mortgages. Clifford Chance advised Kookmin Bank with Shin & Kim providing Korean guidance. Allen & Overy assisted the joint lead managers, HSBC and Citi. Kim & Chang provided help with Korean law, while McCann FitzGerald acted as Irish counsel.
