Philipp Candreia specializes in complex M&A transactions in various industries with a focus on regulated entities, as well as in large-scale internal and regulatory investigations and enforcement matters by Swiss and foreign authorities, as well as enforcement proceedings and investigations. He frequently advises clients on stock exchange and banking regulatory matters, as well as general corporate and governance.

Recent Transactional Highlights
  • Advised a major international banking group in connection with the wind down of its Swiss private banking branch, including by way of complex cross-border asset transfer and referral agreements;
  • Advised EFG Bank AG in connection with (a) seeking Swiss banking regulatory approvals in connection with the acquisition of BSI SA, and (b) the asset transfer and integration of the business of BSI SA into EFG.
  • Advised Navistar International Corporation (Navistar) on a framework agreement for strategic technology and supply collaboration regarding Navistar's strategic alliance with Volkswagen Truck & Bus, including an equity investment in Navistar by Volkswagen Truck & Bus, framework agreements for strategic technology and supply collaboration and a procurement joint venture.
  • Advised R&R Ice Cream in connection with the combination of Nestlé’s and R&R’s ice cream business into a newly formed Joint Venture.
  • Advised BSI SA to reach a Non-Prosecution Agreement with the U.S. Department of Justice (DOJ) under the DOJ's "Program for Non-Prosecution Agreements or Non-Target Letters for Swiss Banks": BSI participated in this Program as "Category 2 bank" and was the first bank to reach a resolution under the Program.
