YKJ Legal advised Greenko Mauritius as the Issuer and its parent, Greenko Energy Holdings, as the Parent Guarantor in the proposed offer senior notes by the Issuer to be guaranteed by the Parent Guarantor. Acting as local counsel, the team advised on all Mauritius law matters, including drafting the corporate approvals; reviewing the offering memorandum, investor presentation, indenture, and purchase agreement from a Mauritius law perspective; and liaising with all relevant parties and advisors to finalise all relevant documents. The transaction closed in April 2024 and was led by partners Vikram Seesunkur and Yuvraj Juwaheer.  

The firm also assisted AgDevCo with an equity investment of USD7m for 25% stake in Agris Africa for the expansion of their herb, vegetable and avocado production in Kenya. Acting as local counsel, the team conducted legal due diligence on Agris Africa and three other related companies; reviewed the subscription agreement; drafted and reviewed the corporate authorization of AGris; and provided general legal advice related to the overall transaction, including filings, approvals, and assisting with conditions precedent. The transaction closed in September 2024 and was led by Vikram Seesunkur, Yuvraj Juwaheer, and Varsha Boodhoo.
