Highlights   

In M&A, the firm advised on the sale of the share in a copper mining company, belonging to Tauken Samruk National Company JSC to Standard Minerals, another current shareholder. The deal combined a traditional sale of a stake to a current participant with an earn-out agreement, under which additional value was payable, determined by the outcomes of the field development. Both agreements were signed in record short terms due to the mandate of the Investment Council of the Republic of Kazakhstan. 

In project development, the firm worked on a project involving various legal structures for project implementation, within and outside the framework of Public-Private Partnerships (PPPs). The project was complex due to the diverse array of legal structures considered, each with its own regulatory and procedural intricacies. Additionally, the requirement to comply with Kazakhstan's legal framework for PPPs added another layer of complexity.
