RegFin Legal is a financial services-focused law firm with a strong emphasis on investment funds, asset management, private equity and venture capital. The firm houses the financial services legal-regulatory practice of IC Legal, which traces its origins to 2004, and has been established with a sharper sectoral focus on funds, financial regulation and investment activity. Its platform combines regulatory, transactional and disputes capability for clients operating in India’s investment management and private capital markets, with offices in Mumbai, New Delhi, Bengaluru and Gandhinagar GIFT City.

The funds practice advises on the structuring and establishment of domestic and offshore investment funds across their legal and regulatory lifecycle, including AIFs, mutual funds, REITs, InvITs, GIFT City-domiciled funds, offshore funds, feeder vehicles, parallel funds and co-investment structures. The team also advises on fundraising and distribution rules, SEBI and IFSCA licensing and registration, fund documentation, investor onboarding, side letters, governance policies and regulatory compliance for market intermediaries including portfolio managers, investment advisers, FPIs, FVCIs and research analysts. Managing partner Tejesh Chitlangi is a key figure in the practice, with his core areas being funds, asset management and regulatory practice, private equity and venture capital, and capital markets and securities.

In private equity and venture capital, the firm acts for domestic and international funds, startups and large corporates on investment structuring, term sheets, due diligence, regulatory approvals, investment documentation and closing support. Work highlights

Advised Neo Asset Management on the formation and regulatory structuring of the Neo Real Asset Yield Fund, which has a corpus of more than INR1,000 crore. The mandate included fund documentation, strategy structuring and securing regulatory approvals.

Acted for Sparrow Capital on fundraising and legal-regulatory aspects for Sparrow Capital III Fund, its third fund with a corpus of approximately INR475 crore. The team assisted with fund terms and documentation in negotiations with investors including global endowments, foundations, funds of funds and family offices.
