News Corporation and two newly incorporated companies formed by funds advised by Permira have taken digital technology company NDS private for $3.6 billion.
The transaction sees News Corp take a 49% stake, with the rest of the equity being taken by Permira's new companies.
News Corporation was advised by a Skadden Arps team led by Lou Kling and Howard Ellin in New York. Corporate support was provided by Michael Hatchard and John Adebiyi out of London.
Permira was advised by Clifford Chance, while Allen & Overy represented the independent directors of NDS Group.
