Zepos & Yannopoulos acted on behalf of Aktor Group of Companies on the signing of the Share Purchase Agreement (SPA) for the acquisition of Aktor Concessions S.A, a wholly owned subsidiary of Ellaktor S.A., with an enterprise value of €367 million.

Zepos & Yannopoulos acted on behalf of Aktor Group of Companies on the signing of the Share Purchase Agreement (SPA) for the acquisition of Aktor Concessions S.A, a wholly owned subsidiary of Ellaktor S.A., with an enterprise value of €367 million.

Following completion of the transaction, Aktor Group will indirectly hold a stake in the Olympia Odos (Athens – Corinth – Patras) motorway (20.50%), the Aegean (Maliakos – Kleidi) motorway (22.22%), the Rio-Antirio Bridge (27.71%), and the Moreas, Corinth – Tripoli – Kalamata motorway (85%, combined with Aktor’s existing stake), as well as participations in several car parking concessions.

Our firm assisted Aktor Group in all key areas of the transaction, ranging from the complex legal due diligence on the target company and the concession subsidiaries falling under the transaction perimeter, preparation and negotiation of all transactional documentation, financing considerations on the structuring of the deal, as well as the negotiation and successful signing of the SPA and all ancillary transactional documentation.

The Zepos & Yannopoulos team was led by Paris Tzoumas, head of Finance, and Sofia Tzianoumi, partner, working closely with our M&A practice led by Stefanos Charaktiniotis, head of M&A, and Stathis Orfanoudakis, partner, assisted by Rania Koliouli, associate.

The completion of the transaction is subject to the approval of the Hellenic Competition Commission.
