Highlights  

Bakouchi & Habachi Law Firm assisted Tuyauto S.A. with a securing financing €15 million allowed by the European Bank for Reconstruction and Development (EBRD) to fund the construction of a green EDGE-certified production facility near Rabat. Acting as lead counsel, the firm advised on the financing operation project; reviewed and negotiated the loan agreement, the guarantees contracts terms, and the business and share pledge agreement; and negotiated with the EBRD team. The transaction closed in August 2024 and was led by Salima Bakouchi.  

The firm also assisted Fortescue Future Industry (FFI) with the construction, ownership, operation and financing of 100GW plus of wind and solar power generation assets and associated infrastructure to support a green hydrogen and ammonia production project. Acting as local counsel, the firm assisted in the negotiation and review of the term sheet of the JV and JV agreement; review of the Tripartite Framework Agreement; and assisted in the due diligence regarding the land, the type of lease agreements, the draft of agreements, and all items related to the project.
