Biography
Yaowarote Klinboon is the Executive Partner of the Firm and one of Thailand’s leading capital markets lawyers, with over 20 years of experience advising on complex domestic and cross-border transactions. Her practice focuses on equity and debt capital markets, public M&A, and high-stakes regulatory matters, with particular strength in transactions involving Thai and international capital markets.
She advises Thai issuers across a broad range of sectors—including property development, out-of-home media, energy, construction, and healthcare—on initial public offerings, secondary offerings, and ongoing listed-company compliance. Her work for public companies routinely spans corporate governance, SEC and SET regulatory compliance, mergers and acquisitions, tender offers, and strategic corporate restructurings.
Yaowarote has extensive experience advising on international offerings under Rule 144A and Regulation S of the U.S. Securities Act, as well as cross-border transactions subject to the regulatory frameworks of the Stock Exchange of Thailand and SGX-ST.
