Minoru Kobayashi is a partner at the Tokyo office of Anderson Mori & Tomotsune and has extensive experience in a wide range of debt, equity and other capital market transactions. He regularly advises Japanese issuers and managers in public and private offerings of debt securities, insurance company capital products, convertible bonds and equity securities in the U.S. and Euro markets. He also represents foreign issuers in public and private offerings of debt and equity securities in Japan. He is highly experienced in handling public and private offerings of units of investment funds and Japanese REITs (real estate investment trusts).
Mr. Kobayashi’s practice further focuses on securitization and other structured finance transactions involving numerous asset classes, with particular strength in complex and innovative products in the market. With the combination of his experience in capital markets and structured finance, he is very active in debt offerings by trusts and other special purpose vehicles using structure finance approaches.
Mr. Kobayashi is also well known for his real estate practice. He has extensive experience in non-recourse loans and other complex real estate finance transactions and the establishment of real estate funds, and regularly represents lenders, sponsors, asset managers, developers, investors and other key players, including various financial institutions and global real estate funds, dealing with various types of assets including office buildings, residential buildings, commercial facilities, logistics facilities, hotels and healthcare assets.
In addition to his capital markets, structured finance and real estate practice, Mr. Kobayashi has experience in mergers and acquisitions and general corporate matters including corporate restructurings, licensing and international trade.
Mr. Kobayashi has been consistently recognized as a leading lawyer in numerous surveys and periodicals, including IFLR1000 Financial and Corporate, Chambers Global, Chambers Asia-Pacific, The Legal 500 Asia Pacific, Best Lawyers, Asialaw Profiles, Who’s Who Legal and The A-List: Japan’s Top 100 Lawyers.
Mr. Kobayashi joined the firm in 1997 and became a partner in 2005. He is a graduate of the University of Tokyo (LLB, 1995) and the University of Virginia (LLM, 2002). Mr. Kobayashi is admitted to practice law in Japan (1997) and New York (2003).
