Melissa is a partner at Consortium Legal – Guatemala. She has more than 18 years of professional practice in the banking and financial, agricultural and industrial sectors and has focused her practice in advising local and international clients in banking, corporate and M&A matters, among others.

She has participated in syndicated loans, international issues of debt securities, project finance, securitizations, authorizations of financial institutions, administrative procedures before the Superintendency of Banks, acquisitions, and corporate restructurings of financial institutions, among others.

• Participation in the drafting of the regulations for the issuance of hybrid bonds in Guatemala.
  Purchase and sale of 100% of the shares of a bank by one of the largest financial groups in the country.
• Participation in the securitization of payment rights of a Guatemalan bank under the laws of NYC.
• Participation in the issuance of private debt under NYC law and its registration in the New York Stock Exchange for US$ 800mm.
• Preparation of security agreements under local law for the financing granted under NY law to one of the largest industrial power generation plants in Guatemala.
• Negotiation, structuring and formalization of syndicated loan for US$ 408,000,000.00 and its guarantees as external legal counsel of the syndicate of banks.
• External legal counsel to a Luxembourg investment fund for the negotiation and formalization of a financing agreement under NY law with local guarantees.
