USD 700 million Merger between TM hf., Lykill fjármögnun hf. And Kvika banki hf. This is by far the largest and most high profile merger in Iceland in recent years, involving three different types of financial undertakings, an insurance company (TM hf.), a commercial bank (Kvika banki hf.) and a leasing company (Lykill fjármögnun hf.).
Acquisition of Alma leigufélag hf. We served as the legal advisor for the buyer. This includes all aspects of the deal, including but not limited to due diligence, leading the negotiations, documentation, structure of the deal and completion. Value was ISK 11 billion. We were the Iead advisor for the buyer. Due to the nature of Alma´s operation, being one of the leading residential property companies in Iceland, the due diligence process was complicated. Further negotiations and structure of the deal were complex as well.
Refinancing of Arctic Green Energy. Value 200m USD. Halldór Acted as the lead counsel of Arctic Green Energy in the debt refinancing of the company and subsidiaries which resulted in the outstanding obligations towards Tor and AIMCO being repaid in full.
Restructuring of KEA. Value around 2 billion ISK. Halldór was a lead counsel for the company and its principal shareholders in the restructuring of Kea, one of the largest hotel operators in Iceland.
