David represents a variety of clients across many transaction types, including mergers and acqusitions, joint ventures, debt and equity offerings, and early-stage capital formation. David chiefly represents investment bankers, developers and owners of renewable energy projects, as well as early-stage and growth-stage technology companies.

• Represented Green Plains Inc. in its sale of three of ethanol plants for $300 million in cash to Valero Renewable Fuels Company LLC.
• Represented client with multi-part restructuring of joint venture and biodiesel project ownership, including exchange of ownership stake in joint venture entity and project investment interest in exchange for mezzanine debt.
• Served as seller’s counsel to Green Plains Inc. in its $350 million stock purchase agreement with Kerry Group to sell the Fleischmann’s Vinegar Company, Inc., a California-based, USDA-certified all-natural producer of specialty ingredients.
