Biography

Mr. Liu began legal practice in 1989, and his areas of specialty include Banking and Finance and M&A. He is also highly regarded for his outstanding performance in the area of financial services.

Mr. Liu has actively represented a number of international and domestic banks and has been involved in the structuring, negotiating, preparing of documents and rendering of legal opinions in many projects, including in the industries of petrochemical, semiconductor, steel, automobile, power, water, and toll roads.

In recent years, Mr. Liu has also represented foreign banks and other financial institutions in their investments and strategic cooperation with PRC banks, fund joint ventures, finance companies and other financial institutions. Mr. Liu represents multinational corporations in their entry into China’s market by establishing presence, conducting mergers and acquisitions and advising state owned enterprises and other domestic companies in their cooperation with foreign investors. He also represents Chinese companies on outbound investments and M&A.

Recent transactional highlights
  • Advised on the RMB 2 billion cross-border parallel refinancing for Sasseur REIT—a leading China-backed REIT listed in Singapore and holding commercial outlet assets in China—arranged by a syndicate led by DBS Bank and China CITIC Bank
  • Advised Standard Chartered Bank and BNP Paribas on their RMB 2.1 billion credit facility to finance Henkel’s acquisition of the Sassoon brand and related hair care business in Greater China from P&G
  • Advised on HSBC’s arrangement of a USD 150 million cross-border syndicate to fund Trina Solar’s Vietnam wafer plant, backed by Sinosure buyer’s credit cover
  • Advised on a syndicate led by Industrial and Commercial Bank of China in SAIC GM’s RMB 20 billion standby working capital facility, , with over a dozen mainstream PRC banks participating
  • Advised on Shanghai Rural Commercial Bank’s RMB 8.5 billion IPO and listing on the Main Board of the Shanghai Stock Exchange
