Chao (Kelvin) Gao

Mr. Gao has practiced law for almost two decades and has extensive experience in a variety of fields and industries. His major practice areas include mergers and acquisitions, formation and deployment of private equity funds, securities offerings, and corporate restructurings. Mr. Gao has been legal counsel to numerous leading investment institutions, multinational companies, and unicorn companies, for whom he has provided a full range of legal services, from deal structuring and legal documentation to closing, for their various cross-border mergers and acquisitions, joint ventures, and financing projects in industries covering internet, computer software, entertainment media, education and training, consumer and retail, and healthcare services. Mr. Gao routinely serves as counsel to many leading institutional investors. Over the years, Mr. Gao has been actively involved in structuring and establishing onshore and offshore China-focused private equity funds for both foreign and domestic fund sponsors and investors, and has represented many well-known institutional investors and industrial investors in various private equity investments and M&A transactions. Mr. Gao has also advised issuers as well as underwriters in several high-profile overseas IPOs involving Chinese companies or operations.
