Represents large groups of companies in US, Europe, Asia, international financial institutions, private equity and venture capital houses with all corporate and commercial legal needs including corporate law, M&A, cross-border reorganisation centred in Luxembourg, and implementation of complex corporate structures involving multiple jurisdictions.

• Advised a major NYSE listed US company regarding the financing of an acquisition of a French target by one of the Luxembourg companies and post-closing actions and intra-group organisation.
• Acted as Luxembourg counsel of a German real estate and investment company in the financing aspects of an acquisition of over 10 Luxembourg companies holding German real estate assets
• Assisted a client and its main existing shareholders in the Luxembourg aspects of the exit sale of 100% of its shares. Advised the client on the best way to terminate the existing stock option and grant plans for over 100 employees, prepared and negotiated all documents regarding the termination of the SOP and SGP, SPA, reviewed the main SPA governed under UK law and assisted with the closing and post-closing matters.
