Zepos & Yannopoulos advised APELLA and its sole shareholder Dr. Nikolaos Kontoyannis, on Olympic Air's (a subsidiary of Aegean Airlines) investment to acquire a 45% stake in the company. The investment was structured through the acquisition of existing shares and a simultaneous share capital increase in APELLA. This partnership creates strong prospects for enhancing infrastructure, facilitating the exchange of know-how, developing new heavy maintenance services and establishing Greece as a regional hub for aviation technical support.

APELLA is an EASA Part-145 certified Maintenance Repair & Overhaul (MRO) organisation providing a wide range of aviation component and on-aircraft maintenance and repair services across multiple aircraft types. The company is the largest provider of wheel and brake repair services in Greece. APELLA also serves as an approved partner of Lockheed Martin Aeronautics, providing engineering services and flight support for military aircraft, including the F-16 Viper upgrade programme for the Hellenic Air Force.

Our firm assisted APELLA in all aspects of the transaction, including support during the legal due diligence and negotiation of the transactional and ancillary documentation. Our deal team was led by Maria Bozinaki, senior associate of our M&A practice, working with Stefanos Charaktiniotis, head of M&A, and Elia Bastali, associate.
