FedEx and Honeywell bonds; First India investment by Morgan Stanley; A&O helps Baugur file for bankruptcy

Davis Polk & Wardwell advised FedEx on an SEC-registered offering of $250 million, 7.375% notes due in 2014 as well as $750 million notes of 8% due in 2019. The underwriters, SunTrust Robinson Humphrey, Goldman Sachs, JP Morgan and Morgan Keegan, were advised by Simpson Thacher & Bartlett.

Cleary Gottlieb Steen & Hamilton advised Honeywell on multiple notes offerings. Davis Polk & Wardwell acted for the book-running managers. The $1.5 billion offering by Honeywell will consist of two senior note groups. Davis Polk advised JP Morgan, Deutsche Bank, Greenwich Capital and UBS on the deal.
